Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the NidApp platform ("Service") provided by NidApp SAS ("NidApp", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

NidApp SAS is a company registered in France. These Terms are governed by French and European Union law.

3. Service Description

NidApp is a Platform as a Service (PaaS) that provides managed DevOps infrastructure, including:

  • Managed Kubernetes deployments
  • Application hosting and deployment automation
  • Database and service management
  • GitOps-based infrastructure as code
  • Monitoring, logging, and observability tools

All services are deployed in the EU (Paris, France, europe-west9 region) on Google Cloud Platform infrastructure.

4. Billing and Payment

4.1 Pricing Model

NidApp operates on a pay-as-you-go basis only. You are charged based on the resources you consume (CPU, memory, storage, network traffic).

4.2 Trial Period

We do not currently offer a free trial period. Billing begins as soon as you deploy services on the platform.

4.3 Refund Policy

No refunds will be issued if services have already been consumed. You pay for actual resource usage. If you believe you have been incorrectly charged, please contact us at contact@nidapp.io within 30 days of the charge.

4.4 Payment Terms

Charges are calculated based on actual usage and billed monthly. Payment is due upon receipt of invoice. Failure to pay may result in service suspension or termination.

5. Service Level Agreement (SLA)

5.1 Uptime Guarantee

NidApp guarantees a 99.95% uptime for the platform. This SLA is based on the underlying Google Cloud Platform SLA.

5.2 Limitations and Exclusions

NidApp is NOT responsible for:

  • Incidents caused by the cloud provider (Google Cloud Platform)
  • Downtime due to scheduled maintenance (with advance notice)
  • Issues caused by user misconfigurations
  • Force majeure events (natural disasters, war, etc.)
  • Third-party service failures beyond our control

5.3 SLA Credits

If we fail to meet the 99.95% uptime guarantee due to issues within our control, you may be eligible for service credits. Contact us at contact@nidapp.io to request credit.

6. Intellectual Property and Ownership

6.1 Your Content and Applications

You retain full ownership of all applications, code, data, and content you deploy on NidApp. We build, deploy, and manage your applications in the cluster on your behalf, but you maintain complete ownership of your intellectual property.

6.2 NidApp Platform

NidApp owns all rights to the NidApp platform, including:

  • The NidApp application suite (frontend, backend API, orchestrator)
  • Deployment methodologies and infrastructure automation
  • Platform code, logos, trademarks, and documentation
  • All proprietary tools and technologies

6.3 License to Operate Your Services

By using NidApp, you grant us a limited, non-exclusive license to host, store, process, and deploy your applications solely for the purpose of providing the Service to you.

7. Acceptable Use Policy

7.1 Prohibited Content

You may NOT use NidApp to host, store, or distribute:

  • Illegal content: Content that violates French, European, or international law
  • Pornographic content: Adult content or sexually explicit material
  • Malware, viruses, or malicious code
  • Content that infringes on intellectual property rights
  • Content that promotes hate speech, violence, or terrorism
  • Spam or phishing attempts

7.2 Enforcement

We reserve the right to investigate, suspend, or terminate accounts that violate this Acceptable Use Policy without prior notice and without refund.

8. Account Termination and Cancellation

8.1 Cancellation by You

You may cancel your account at any time:

  • No notice required: Cancel immediately without advance notice
  • Immediate effect: Billing stops as soon as services are deleted
  • No cancellation fees: No penalties for cancellation

8.2 Data Retention After Termination

Upon account termination:

  • Your data is retained for 30 days to allow for recovery
  • After 30 days, all data is permanently and irreversibly deleted
  • You can request immediate deletion by contacting us

8.3 Data Export

You can request a full export of your data at any time by contacting contact@nidapp.io. We will provide your data in a structured, machine-readable format.

8.4 Termination by NidApp

We reserve the right to suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • You fail to pay outstanding invoices
  • Your account poses a security risk to the platform
  • We are required to do so by law

9. Limitation of Liability

To the maximum extent permitted by law:

  • NidApp is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for data loss (you should maintain backups)
  • We are not liable for cloud provider outages or third-party service failures

10. Security and Data Protection

NidApp implements industry-standard security measures, including:

  • AES-256 encryption for data at rest
  • TLS/SSL encryption for data in transit
  • Role-Based Access Control (RBAC)
  • Regular security audits and monitoring

11. Compliance and Jurisdiction

11.1 GDPR Compliance

NidApp is fully compliant with the General Data Protection Regulation (GDPR) and European data protection laws. All data is stored in the EU (Paris, France).

11.2 Governing Law

These Terms are governed by French law and European Union regulations. NidApp SAS is registered in France, and all operations are conducted in accordance with French and EU law.

11.3 Dispute Resolution

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the French courts. We encourage you to contact us first to resolve any issues amicably.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Updating the "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice on the platform

Continued use of the Service after changes constitutes acceptance of the updated Terms.
